Terms of Service

These Terms of Service (“Terms”) are a contract between [Planerie, LLC] (“Planerie,” “we,” “us,” “our”) and you. By accessing or using the Planerie website, mobile app, or related services (collectively, the “Service”), you agree to these Terms and our Privacy Policy (together, the “Agreement”). If you do not agree, do not use the Service.
1) Who may use the Service
- You must be at least 13 years old (or the age of digital consent in your country, 16+ in the EEA/UK).
- If you use the Service on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms.
2) Definitions
- User Content: content you provide or create in the Service (e.g., event names, dates, locations, messages, guest details).
- Events: event pages and related content created by you.
- Invitations: messages (email/SMS) you send through the Service to people you select.
3) Your license to us (content needed to run the Service)
You retain ownership of your User Content. You grant Planerie a non-exclusive, worldwide, royalty-free, sublicensable (to our service providers), transferable license to host, store, transmit, display, and process your User Content solely to provide, maintain, improve, and secure the Service and to comply with law. This license ends when your content is deleted from our systems, subject to reasonable backup and archival retention.
4) Your account
You must provide accurate information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us immediately of unauthorized use.
5) Acceptable use
You agree not to:
- Violate laws or rights of others, including IP, privacy, or publicity rights.
- Upload or transmit malware, attempt to bypass security, or interfere with the Service.
- Harass, threaten, or promote violence or hatred; post content that is illegal or that we reasonably deem harmful to our community.
- Use automated means (bots/scrapers) without our written permission.
- Create excessive or duplicative events, or otherwise spam users.
- Use the Service to run prohibited events or activities (see Section 6).
We may monitor, moderate, and remove content or suspend accounts to protect users and the Service.
6) Prohibited events and content (examples)
Planerie is not for: sexual/explicit content; illegal drugs or controlled substances; weapons/ explosives; unlicensed gambling or lotteries; health/medical claims by unlicensed providers; financial/investment schemes promising guaranteed returns; employment or work-from-home scams; extremist/hate/terrorism; platform abuse or evasion.
These categories are illustrative, not exhaustive. We may remove content or restrict accounts at our reasonable discretion.
7) Invitations, messaging, and compliance
- Consent: You must have valid permission to contact invitees you add or import.
- SMS: Message & data rates may apply. Message frequency varies. Reply STOP to opt out; HELP for help. Carriers are not liable for delayed or undelivered messages.
- Anti-spam: No unsolicited or harassing messages; we may rate-limit, filter, or block to prevent abuse.
- You agree to comply with applicable laws (e.g., TCPA/CTIA in the U.S., e-privacy rules, and local marketing rules).
8) Third-party services
The Service may rely on or link to third parties (e.g., Mapbox for maps, Resend for email, Twilio for SMS, Vercel and Supabase for hosting/database). Your use of those features may be subject to their terms. We are not responsible for third-party sites or services unless stated in a separate agreement.
9) Intellectual property; feedback
The Service (and all software, designs, logos, and content we provide) is owned by Planerie or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.
If you send us ideas or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.
10) Content moderation & takedown; repeat infringers
We may remove content or suspend accounts that violate these Terms or the law.
Copyright complaints (DMCA, U.S.): Send a notice to our agent:

Include: your contact info, identification of the work and material claimed to be infringing, a statement under penalty of perjury, and your signature. We will terminate accounts of repeat infringers where appropriate.
11) Service changes; availability; force majeure
We may change or discontinue features at any time. The Service may be unavailable due to maintenance, outages, or events beyond our control (force majeure). We are not liable for delays or failures caused by such events.
12) Beta features
We may offer features labeled “beta,” “preview,” or similar. They are provided as-is, may change without notice, and may be subject to additional terms.
13) Indemnification
You will defend, indemnify, and hold harmless Planerie and our affiliates, officers, employees, and agents from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your User Content, Events, Invitations, your use of the Service, or your violation of this Agreement or law.
14) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND NON-INTERFERENCE.
15) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANERIE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.
16) Resolving disputes (U.S. users)
Informal resolution first. Contact help@planerie.com and we’ll try to resolve.
Binding arbitration & class waiver. Any dispute with us will be resolved by individual binding arbitration administered by JAMS (or AAA) under its consumer rules. No class or representative actions or proceedings.
Small-claims exception. Either party may bring an individual action in small-claims court.
30-day opt-out. You may opt out of arbitration/class waiver within 30 days of accepting these Terms by emailing legal@planerie.com with subject “Arbitration Opt-Out” and your account email.
EEA/UK consumers. If you reside in the EEA/UK, mandatory local consumer law may give you rights that cannot be waived, and this Section 16 does not deprive you of those rights.
17) Governing law & venue
These Terms are governed by the laws of the State of Connecticut, USA, without regard to conflict-of-laws rules. Except as provided in Section 16, the exclusive venue for disputes is the state or federal courts located in Fairfield County, Connecticut, and both parties consent to personal jurisdiction there.
18) Export & sanctions
You may not use the Service if you are located in or are a resident of a country embargoed by the U.S., or if you are on a U.S. government restricted parties list.
19) Termination
You may stop using the Service at any time. We may suspend or terminate your account or access at any time with or without notice for any reason, including violations of these Terms or risk to the Service or users.
Upon termination, your right to use the Service ends, but Sections 3, 5–9, 11, 13–19 survive.
20) Changes to these Terms
We may update these Terms. If changes are material, we will provide notice (e.g., email or in-product). The updated Terms are effective when posted unless otherwise stated. Your continued use after the effective date constitutes acceptance.
